Vendor Confirmation Letter

Dated 22 September 2006, this letter from SWANsat vendor IOSTAR Corporation confirms the existence of the SWANsat Holdings contract with IOSTAR, and that the first IOSTAR high-powered spacecraft is now under development. Also see below under our Vendor Section for further information.

Valuation Memorandum

By what criteria can the financial value of the overall SWANsat business opportunity be calculated? The documents below set forth our estimate of the range of economic value that might be estimated when one considers the following pre-launch evaluative criteria:

(1) the electromagnetic frequency assignments in the W-band; and,

(2) the value of the spacecraft in the constellation; and,

(3) the value of the GSO orbital slots assigned

as well as the following additional post-launch evaluative criteria:

(4) the system's capacity to carry video; and,

(5) the system's capacity to carry internet accounts; and,

(6) intellectual property (IP) set for the business models; and,

(7) the value of a fully populated subscriber base
